Terms and Conditions of Service

Welcome to Effivis. These Terms and Conditions of Service ("Terms") govern your access and use of the Effivis business automation platform ("the Platform" or "the Service"), owned by EFFIVIS TECHNOLOGIES S.L.
By accessing, registering or using the Platform, you agree to be bound by these Terms. If you disagree with any of them, you must not use the Service.

2. Definitions
- "User": any individual or legal entity that accesses or uses the Platform.
- "Customer": User who has contracted a subscription plan.
- "Organisation" or "Tenant": business entity grouping users and data within the Platform.
- "Content": data, texts, images, files and any other material uploaded to or processed by the Platform.
- "Third-Party Services": integrations with external platforms such as WhatsApp Business, Google Drive or payment providers.
3. Acceptance
By creating an account or using the Platform, you declare that:
- You have legal capacity to enter into binding agreements.
- If you act on behalf of a company, you have authority to bind it to these Terms.
- You have read and understood these Terms and our Privacy Policy.
4. Description of Service
Effivis is a business automation platform that enables SMBs to:
- Automate workflows and repetitive tasks without coding.
- Manage multi-channel communications (WhatsApp Business, email, Instagram, etc.).
- Process documents using AI (OCR, data extraction).
- Create custom business management modules.
- Integrate with third-party services (Google Drive, Stripe, messaging).
Effivis reserves the right to modify, suspend or discontinue features, with reasonable advance notice to Customers where possible.
5. Account and Multi-tenancy
You must provide accurate, complete and up-to-date information to create an account, and you are responsible for safeguarding your credentials. Each organisation operates in an isolated tenant with database-level Row-Level Security (RLS).
6. Plans and Pricing
Subscriptions are billed in advance on a monthly or annual basis via secure payment providers such as Stripe. Price changes are notified with at least 30 days' notice and do not affect already-paid periods. Subscriptions are non-refundable once a billing period starts, except where consumer protection law requires otherwise.
7. User Obligations
- Provide accurate information and keep it up to date.
- Use the Service only for lawful purposes and in line with these Terms.
- Not attempt to access accounts, data or systems without authorisation.
- Not introduce malware or malicious code.
- Not intentionally overload the Service.
- Comply with all applicable regulations, including data protection law.
8. Acceptable Use Policy
You may not use the Platform to:
- Send unsolicited messages (spam) via WhatsApp, email or other integrated channels.
- Distribute illegal, defamatory, fraudulent or infringing content.
- Impersonate another person or entity.
- Conduct fraudulent activities such as phishing.
- Breach Meta's policies (WhatsApp Business, Instagram, Facebook) or those of other integrated services.
- Scrape or extract data without authorisation.
Breach may result in immediate suspension or termination, with no right to refund.
9. Intellectual Property
The Platform, its source code, design, logos, texts and graphics belong exclusively to EFFIVIS TECHNOLOGIES S.L. or its licensors. You retain all rights over your Content and grant Effivis a limited, non-exclusive, revocable licence to process it solely to deliver the Service. Feedback you provide may be used by Effivis without compensation.
10. Data Protection
Personal data processing is governed by our Privacy Policy. Where the Customer uses the Platform to process third-party personal data, the Customer acts as Data Controller and Effivis as Data Processor under GDPR Art. 28.
11. Service Availability
We target 99.5% availability. Planned maintenance is notified in advance where possible; emergency maintenance may occur without notice. Technical support is available at [email protected] on business days (Monday–Friday, Central European time).
12. Limitation of Liability
- Effivis is not liable for indirect, incidental, special or punitive damages.
- We don't warrant the Service will be uninterrupted, error-free or fully secure.
- Total liability is capped at the amount paid by the Customer in the 12 months prior to the event giving rise to the claim.
- Effivis is not responsible for third-party actions, content or data, nor for content Users upload or transmit via the Platform.
13. Indemnification
You agree to indemnify Effivis, its directors, employees and agents against any claim, damage, loss, cost or expense (including legal fees) arising from your use of the Service, breach of these Terms, infringement of third-party rights, or non-compliance with applicable regulations.
14. Termination
You may cancel at any time from your account settings or by emailing [email protected]. Cancellation becomes effective at the end of the current billing period. Effivis may suspend or terminate access for breach of these Terms, non-payment, legal requirements or prolonged inactivity (12+ months). Upon termination you lose access to the Platform and your data; we retain data for 30 additional days to allow reactivation, after which it is permanently deleted.
15. Changes
Effivis may modify these Terms at any time. Changes are published on this page and material changes are notified to Customers by email at least 15 days in advance. Continued use after the effective date constitutes acceptance.
16. Governing Law
These Terms are governed by Spanish law. Any dispute will be subject to the courts of Madrid (Spain), with express waiver of any other jurisdiction. Consumers may bring actions before the courts of their place of residence.
17. General
- Entire agreement: these Terms, the Privacy Policy and any signed side agreements constitute the complete agreement.
- Severability: if any provision is found invalid, the rest remain in effect.
- Waiver: not enforcing a right does not waive it.
- Assignment: you may not assign your rights without Effivis' prior consent. Effivis may assign its rights to affiliates or in a merger/acquisition.
